Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Silvertriverse Private Limited ("SilverTriverse," "Company," "we," "us," or "our"), governing your access to and use of silvertriverse.com, the SilverTriverse entertainment super-app, and any related applications, features, or services (collectively, the "Services").

By creating an account, accessing the Services, or clicking to accept or agree to these Terms where this option is made available, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree, you must not access or use the Services.

If you are accessing the Services on behalf of a company, studio, brand, or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account or transact on the Services. By using the Services, you represent and warrant that you meet this requirement and that you are not barred from receiving services under the laws of India or any other applicable jurisdiction.

Certain areas of the Services (including the Marketplace, Club, Creator Economy, and AI Agents sections) are made available on a pre-launch, invite, or waitlist basis and may be modified, restricted, or withdrawn at our sole discretion without prior notice.

• You are responsible for providing accurate, current, and complete information during registration and for keeping that information up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us immediately at contact@silvertriverse.com of any unauthorized use of your account or any other breach of security.
• We reserve the right to suspend or terminate accounts that provide false information, are inactive for extended periods, or are used in violation of these Terms.

SilverTriverse operates a multi-layer cultural-commercial ecosystem that may include, without limitation: a social and content engine ("Reelity"); collectible digital assets tied to licensed cinematic intellectual property ("Film Collectible Units" or "FCU"); a rewards and engagement instrument used within the ecosystem ("Silver Coins"); generative AI tooling for scriptwriting and production analysis ("AI Writer" and "AI Producer"); brand and advertising tools ("AI Ads Studio"); and gamified engagement features.

Not all features described on the Services are live, generally available, or offered in every region. References to a feature on the website do not constitute a representation that the feature is currently available to you.

When using the Services, you agree that you will not:

• Violate any applicable local, state, national, or international law or regulation.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Upload, post, or transmit content that is unlawful, defamatory, obscene, infringing, or that violates the intellectual property or privacy rights of any third party.
• Attempt to gain unauthorized access to the Services, other users' accounts, or any systems or networks connected to the Services.
• Use automated means (bots, scrapers, or crawlers) to access the Services without our prior written consent.
• Engage in market manipulation, wash trading, or fraudulent transactions involving digital collectibles or in-ecosystem instruments.
• Reverse engineer, decompile, or attempt to extract the source code of any software provided as part of the Services, except where such restriction is prohibited by applicable law.

Film Collectible Units, Silver Coins, and any other virtual or digital items made available through the Services ("Digital Items") are licensed, revocable digital representations made available for use solely within the SilverTriverse ecosystem, subject to the Intellectual Property & Licensing Policy.

Digital Items have no cash value outside the Services, are not legal tender, securities, or investment products, and are not redeemable for cash except where we expressly enable such redemption through a designated feature. Nothing in these Terms or on the Services should be construed as an offer, solicitation, or guarantee of investment return.

Prices, availability, and utility of Digital Items may fluctuate or be discontinued at our discretion, including in response to legal, regulatory, or business considerations. We do not guarantee any secondary market, resale value, or liquidity for any Digital Item.

You are solely responsible for determining what, if any, taxes apply to your transactions involving Digital Items, and for reporting and remitting the correct amounts to the relevant tax authority.

All intellectual property in the Services, including software, design, trademarks, logos, and underlying platform architecture, is owned by or licensed to the Company and is protected under applicable intellectual property laws. See our Intellectual Property & Licensing Policy for full detail on ownership, licensing of Digital Items, and user-generated content.

Certain cinematic intellectual property referenced or represented within the Services is licensed from third-party studios, rights holders, or partners. All such third-party IP remains the property of its respective owners, and its inclusion in the Services does not transfer any ownership rights to you.

The Services may contain links to third-party websites or resources. We are not responsible for the content, accuracy, or practices of third-party sites, and inclusion of a link does not imply endorsement.

Where the Services involve payment (including purchase of Digital Items, subscriptions, or marketplace transactions), applicable prices, currencies, and fees will be presented to you prior to purchase. All payments are processed through third-party payment processors, and your use of such processors is subject to their own terms and privacy policies.

Except as set out in our Refund Policy, all payments are final. You are responsible for any applicable transaction fees, taxes, duties, or similar governmental assessments imposed on your purchases.

We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or where required to protect the security or integrity of the Services.

You may stop using the Services and request deletion of your account at any time by contacting contact@silvertriverse.com, subject to our data retention obligations described in the Privacy Policy.

Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive any termination of your access to the Services.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any AI-generated output (including from the AI Writer or AI Producer modules) will be accurate, original, or fit for commercial use without human review.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ten thousand Indian Rupees (INR 10,000).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party right.

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

The parties shall first attempt to resolve any dispute through good-faith negotiation. If a dispute is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration under the (Indian) Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in India and proceedings conducted in the English language, unless otherwise required by mandatory law.

Nothing in this section prevents either party from seeking injunctive or equitable relief before a court of competent jurisdiction in India to protect its intellectual property or confidential information.

We may revise these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting an updated "Effective Date" on this page or through in-product notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

• Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any other referenced policies, constitute the entire agreement between you and the Company regarding the Services.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
